1. Parties and agreement
The final terms must identify the Folentra legal entity, the customer, the order or subscription document and the order of precedence between contractual documents.
2. Access and authorised users
Access is intended for users authorised by the relevant customer or service administrator. In configured environments, users authenticate with a Microsoft work account. Customers are responsible for assigning appropriate access and for activity performed through their user accounts.
3. Professional responsibility
Folentra supports transfer pricing analysis and documentation. It does not provide tax or legal advice, select the final method, validate source material, determine jurisdiction-specific requirements or approve the final deliverable. AI-generated material and generated Word documents are working drafts and may be incomplete or incorrect. Those responsibilities remain with the relevant professionals.
4. Customer content
The approved terms must address ownership, permissions, confidentiality, permitted processing and return or deletion of content entered into the workspace.
5. Acceptable use
Users must not attempt unauthorised access, disrupt the service, introduce malicious material, misuse AI-assisted features or upload content they are not entitled to process.
6. Intellectual property
The final version must distinguish rights in the Folentra product from rights in customer content and generated working documents.
7. Availability, warranties and liability
Service levels, support arrangements, warranties, disclaimers and liability provisions must be agreed and inserted by qualified legal counsel.
8. Term, termination and governing law
The approved terms must state the contract term, termination process, post-termination data handling, governing law and dispute forum.
